                              D.F. Sherman

Know all men by these presents: That we, D.G. Ainslie and Agnes Ainslie, his
wife, in consideration of one dollar to us paid by D.F. Sherman, the receipt
whereof we hereby acknowledge, have bargained and sold and by these presents do
grant, bargain, sell and convey into the said D.F. Sherman, all and singular the
following described real property situated in the county of Lewis, State of
Washington, towit:

The Southwest quarter of Section five (5) the South half of the Northeast
quarter of Section five (5) the West one half of Section eight (8) the Southwest
quarter of the Northeast quarter of Section eight (8) and the Northwest quarter
of the Southeast quarter of Section eight (8) all in Township eleven (11) North
of Range two (2) West of the Willamtte Meridian; together with all the mills,
buildings and improvements of what kind and nature so-ever situated thereon.

To have and to hold the same with the appurtenances unto the said D.F. Sherman,
his heirs and assigns forever.   And I the said D.G. Ainslie do hereby covenant
to and with the said D.F. Sherman, his heirs and assigns, that I am the owner in
fee simple of the above described real property, that the same is wholly free
and clear of and from all and all manner of leins, changes and encumbrances,
saving and expecting only a certain mortgage of $5000.00 made by me to the
Lombard Investment Company.
